Job Description:
As a Corporate Counsel, you will provide legal expertise to support corporate governance, compliance, and business operations for portfolio companies and clients. This remote, part-time role (with flexibility for full-time arrangements) offers the opportunity to work with global teams, enabling you to handle a wide range of legal matters, including contracts, mergers and acquisitions, intellectual property, and regulatory compliance. You will play a key role in protecting business interests and supporting strategic decision-making.
Job Responsibilities:
- Provide legal advice and support on corporate governance, compliance, and business operations.
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Advise on mergers and acquisitions, joint ventures, and other corporate transactions.
- Ensure compliance with applicable laws, regulations, and industry standards.
- Identify and mitigate legal risks, providing actionable recommendations to stakeholders.
- Collaborate with internal teams to support business initiatives and resolve legal issues.
- Manage intellectual property matters, including trademarks, patents, and copyrights.
- Stay updated on changes in laws and regulations, ensuring the organization remains compliant.
- Manage external legal counsel and oversee legal proceedings, if necessary.
Job Requirements:
- Education: Juris Doctor (JD) degree or equivalent; admission to the bar in a relevant jurisdiction.
- Experience: 3+ years of experience as a corporate counsel or in a related role (open to less experienced candidates with strong potential).
- Skills:
- Strong knowledge of corporate law, contract law, and regulatory compliance.
- Excellent drafting, negotiation, and communication skills.
- Ability to analyze complex legal issues and provide clear, actionable advice.
- Familiarity with mergers and acquisitions, intellectual property, and international laws is a plus.
- Strong organizational and time management skills.
- Ability to work independently and manage multiple priorities.
- Certifications: Relevant certifications (e.g., Certified Compliance Professional) are a plus but not required.
